Discussion Partner Needed F4 & F9

Hi,

I am preparing for F4 & F9 for June 2008 and I am doing it self study as there is no provider in Denmark, If anyone interest to discuss what we learn after long hours of self study then please get in touch, I am sure disucssing the topic you learnt by yourself help remembering it better.

Hi

Privity of Contract:

Doctrine of Privity of contract means that only the two parties to the agreement can enjoy rights or incur liabilites under such contract, therefore, third parties to contract cannot sue or be sued.
Thats almost what my notes say, more comments welcomed.

Hi Areeba,

Promissory estoppel is so boring topic. I spent alot of time in getting this topic in my mind.

Here it is:

Primossory estoppel:
Estoppel means: A legal theory under which a person is barred from asserting or denying a fact because of the person's previous acts or words.

It prevents a person going back on his promise to accept something else.The principle was established in Central London Property Trust v High Trees House.
See this case for further clearance.

Privity of a contract:
As told by Hassan only the parties to a contract acquire rights and obligations under it.

However there are some exceptions like:

1 The Contracts (Rights of Third Parties) Act 1999 allows a person who is not a party to a contract to enforce it so long as the contract was for his benefit and he was expressly identified, by name or description. Case reference (Beswick v Beswick )


2 An executor can enforce contracts made by the deceased for whom he is acting.

thank you soo much ayesha... i need your advice in one other matter... u may know that the company act has now been changed and we will be tested on company's act 2006 in this june 2008 session..the books which are available in the market hasnt incorporated the new act and now the only resource which i have regarding the chnage are the articles from the student accountant... however these articles are not enough as the whole act has been revised...like the table A articles have also changed and their is only a draft which is available on the internet n it says that this is subject to change...

so what i want to know is that what sort of questions can we face regarding this topic and do we have to quote the section numbers like s 303 etc...???

Hello Areeba,

There is no such requirement to quote these section numbers BUT if you can learn and quote it then its like a cherry on a cake.

Regarding the Company Act, I am not familiar with the new legislation. However Company law is quite important chapter and according to me, following are the main topics from Company law.

The doctrine and veil of incorporation / Lifting the veil of incorporation
Types of business organisation
Types of company
Promoters
Registration
memorandum of association
Articles of association / Alteration of articles

I think you should contact someone who is doing F4 with any tution center ( Kaplan or BPP ) and get information about how they are doing with this new legislation.

Books are available online, so you can get from there.
